1. Acceptance of Terms

By accessing or using Adscod's platform designed to connect African businesses with content creators, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Your use of the Service constitutes acceptance of these Terms, including any updates or modifications. We may update these Terms from time to time, and your continued use of the Service after such updates constitutes acceptance of the revised Terms.

2. Definitions

• "Adscod", "we", "us", or "our" refers to Adscod and its subsidiaries.
• "User", "you", or "your" refers to any individual or entity using our Service.
• "Content" refers to text, images, videos, audio, and any other materials uploaded, shared, or transmitted through the Service.
• "Business" refers to African entrepreneurs and businesses who register to showcase products and connect with creators.
• "Creator" refers to content creators who register to partner with African businesses and create authentic content.
• "Platform" refers to our marketplace connecting African businesses with content creators for authentic partnerships.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activities that occur under your account.

Account Types

Account Security

You are responsible for maintaining the security of your account credentials. We recommend:

• Using a strong, unique password
• Enabling two-factor authentication when available
• Regularly reviewing your account activity
• Logging out of shared devices

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Infringe upon the intellectual property rights of others.
• Transmit any harmful, threatening, or harassing content.
• Engage in fraudulent or deceptive practices.
• Attempt to gain unauthorized access to our systems.
• Interfere with or disrupt the Service or servers.
• Use automated systems to scrape or collect data without permission.
• Impersonate any person or entity.

5. User Content

You retain ownership of any Content you submit to the Service. By submitting Content, you grant Adscod a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content in connection with promoting African entrepreneurship and authentic creator partnerships.

You represent and warrant that you own or have the necessary rights to submit Content and that your Content does not violate any third-party rights or these Terms.

Content creators agree to create authentic, honest content that accurately represents the businesses and products they feature. Businesses agree to provide accurate product information and honor partnership agreements.

Content Guidelines

Content Moderation

We reserve the right to review, moderate, and remove content that violates these Terms or our Community Guidelines. Our moderation process includes:

• Automated screening for prohibited content
• Community reporting mechanisms
• Human review of flagged content
• Appeals process for content decisions

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Adscod and are protected by international copyright, trademark, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used in connection with any product or service without our prior written consent.

7. Payment Terms

Adscod operates on a commission-based model for successful partnerships between businesses and creators. Payment terms are agreed upon between parties with Adscod facilitating secure transactions.

Payment Structure

Payment Processing

• Partnership payments are processed securely through our payment system.
• Platform fees are clearly disclosed before any transaction.
• Refunds and disputes are handled according to our partnership protection policy.
• All payments are subject to applicable local taxes and regulations.
• Minimum payout thresholds may apply to creator earnings.
• Payments are typically processed within 3-5 business days.

Taxes and Compliance

Users are responsible for understanding and complying with applicable tax obligations in their jurisdiction. This includes:

• Income tax on earnings from partnerships
• VAT or sales tax on applicable transactions
• Business registration requirements
• Proper documentation for tax reporting

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

10. Limitation of Liability

IN NO EVENT SHALL ADSCOD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Adscod and its licensees, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions. Local consumer protection laws and regulations applicable in Uganda and other African jurisdictions may also apply. Any disputes arising from these Terms shall be resolved through binding arbitration or in the competent courts of Uganda.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
