Brand Terms of Service

These terms govern how Brands use the Adscod platform to discover, manage, and collaborate with Creators through campaigns.

Effective Date: March 28, 2026

These Brand Terms of Service (“Brand Terms”) form a binding agreement between the Brand (“you” or “Brand”) and Adscod Limited (“Adscod”, “we”, “us”). These terms supplement the General Terms of Use and the Customer Terms of Service.

1. Acceptance of Terms

By registering as a Brand on Adscod, you confirm that you are authorized to act on behalf of the business or entity you represent and agree to these Brand Terms.

If you do not agree, you may not access or use the Brand-specific features of the Platform.

2. Definitions

Brand: An entity or individual registered on Adscod as an Advertiser to promote products or services to Creator and Publisher audiences.

Campaign: An advertising unit configured by a Brand on the Platform, consisting of a creative, a Cost-Per-Click (CPC) bid, targeting parameters (country, city, and/or device), and a funded budget drawn from the Wallet. A Campaign has no brief, no deliverables, and no milestones — it is matched automatically by The Eye to Creators and Publishers based on targeting and category fit.

The Eye: Adscod's proprietary matching and fraud-detection engine. The Eye automatically matches Campaigns to Creators and Publishers and screens every click for fraud before it is billed to the Brand's Wallet.

Wallet: The prepaid balance maintained in your Adscod account, funded via Flutterwave, from which your CPC bid is debited in real time for each verified click delivered to your Campaign. The Wallet is a prepaid balance, not an escrow account; unspent balance may be withdrawn or refunded by you at any time.

Creator: A registered user who operates a free Adscod bio page and earns a share of CPC revenue when verified clicks occur on Brand Campaign cards matched to their page.

3. Account Registration and Obligations

  • You must provide accurate, complete, and current information about your business during registration.
  • You are responsible for all activity under your account and maintaining the confidentiality of your credentials.
  • You must comply with all applicable laws, including advertising standards, consumer protection regulations, and data protection laws.
  • You must not misrepresent your identity, products, or services on the Platform.
  • Adscod reserves the right to verify Brand identity and reject or suspend any account at its discretion.

4. Campaign Management

4.1 Campaign Creation

  • Brands create a Campaign by submitting a creative, a CPC bid (minimum $0.05), targeting parameters (country, city, and/or device), and a budget funded from the Wallet (minimum funding $10).
  • There is no campaign brief to complete, and no deliverables, milestones, or timelines to set — a Campaign is simply a creative plus a bid plus targeting plus a budget.
  • All Campaigns must comply with the Acceptable Use Policy and Community Guidelines.

4.2 Automated Matching by The Eye

  • Once published, your Campaign is matched automatically by The Eye to Creators (free bio pages) and Publishers (API-integrated inventory) whose audience or category fits your targeting. Matching is purely algorithmic — there is no manual application, invitation, or approval step by you, Adscod, or any Creator or Publisher.
  • Adscod does not guarantee any specific volume of matches, clicks, or campaign outcomes.
  • Direct communication with Creators or Publishers outside the Platform for the purpose of circumventing Adscod's terms or fee structure is prohibited.

4.3 Real-Time Click Billing and Fraud Screening

  • Your Wallet is debited your CPC bid in real time for each verified click delivered to your Campaign on a matched Creator's bio page or Publisher's inventory.
  • The Eye screens every click for fraud before it is billed. Clicks identified as fraudulent are never charged to your Wallet.
  • When your Wallet balance is insufficient to cover further verified clicks at your CPC bid, your Campaign is automatically paused until you add funds.

4.4 Performance Data and Analytics

  • Adscod provides campaign performance analytics including clicks, spend, click-through data, and conversion data (where a tracking pixel is deployed).
  • You may deploy the Adscod tracking pixel on your website or landing pages to attribute conversions and sales to specific Campaigns. You are responsible for obtaining any required end-user consent before deploying tracking tools.
  • Analytics data is provided for your internal campaign evaluation only and may not be redistributed or sold to third parties.

4.5 Disputes

  • Disputes over click billing (including suspected fraudulent or miscounted clicks) or Wallet/payment errors may be raised through the Platform's support-ticket system.
  • Adscod investigates all disputed charges and may request supporting evidence. Where a billing error or fraudulent click is confirmed, the corresponding charge is reversed to your Wallet.
  • Dispute investigation outcomes are final absent fraud or manifest error.

5. Fees and Payments

  • Campaigns are funded entirely from your Wallet. You pay only for verified clicks delivered to your Campaign, at your chosen CPC bid (minimum $0.05). There are no campaign packages, deliverable-based fees, or recurring subscription charges.
  • The minimum Wallet top-up is $10. Your Wallet must hold sufficient balance to cover at least one click at your CPC bid before a Campaign can be published; the Campaign auto-pauses whenever the balance is no longer sufficient.
  • All payments are processed exclusively through Flutterwave Technology Solutions Limited, a licensed third-party payment infrastructure provider. Adscod is a technology platform and does not itself hold, custody, or manage user funds. Supported payment methods include credit/debit cards, bank transfer, and mobile money.
  • The Wallet is a prepaid balance, not an escrow account. No funds are held pending approval of any deliverable or milestone — there are none. Your Wallet is debited your CPC bid in real time as verified clicks occur, after The Eye has screened each click for fraud. Fraud-flagged clicks are never charged.
  • Unspent Wallet balance may be withdrawn or refunded by you at any time, subject to standard payment-processor verification and processing times. Amounts already debited for verified, non-fraudulent clicks are not refundable.
  • If you believe a click was billed in error, you may dispute it under Section 4.5. Confirmed billing errors are reversed to your Wallet; all other fees are non-refundable except as expressly stated in the Customer Terms of Service.
  • You are responsible for all applicable taxes, duties, and levies associated with your use of the Platform.
  • Platform Nature Disclosure: Adscod Ltd. is a technology platform company, not a bank, financial institution, or payment service provider. Adscod does not accept deposits, issue e-money, or operate a payment system. Wallet balances represent accounting entries that track amounts owed to or by you; they do not constitute deposits held by Adscod. All payment processing, fund settlement, and transfers are performed by Flutterwave, which is licensed and regulated by the Central Bank of Nigeria and authorised to operate across multiple African jurisdictions.

6. Intellectual Property and Content

  • You retain ownership of your brand materials, trademarks, and ad creatives submitted for use in your Campaigns.
  • You grant Adscod a non-exclusive, worldwide license to display your Campaign creatives on Creator bio pages and Publisher inventory matched by The Eye, for the duration your Campaign is active.
  • Display of your Campaign creative on a Creator's bio page does not transfer any rights in that creative to the Creator; the Creator's role is limited to hosting the matched Campaign card, governed by the Creator Terms of Use.
  • You must not upload or distribute content that infringes on third-party intellectual property rights.

7. Termination

  • Either party may terminate this agreement at any time by providing written notice.
  • Adscod may suspend or terminate your account immediately for breach of these Terms, non-payment, or conduct detrimental to the Platform.
  • Active Campaigns at the time of termination are paused. Charges already incurred for verified, non-fraudulent clicks remain payable; any unspent Wallet balance remains withdrawable/refundable by you, subject to standard verification.
  • Provisions regarding payment, intellectual property, confidentiality, and limitation of liability survive termination.

8. General Provisions

Disclaimers: Adscod does not guarantee campaign outcomes, creator performance, or specific engagement levels. The Platform is provided “as is” and “as available.”

Limitation of Liability: To the fullest extent permitted by law, Adscod's liability is limited to the fees paid by the Brand in the twelve (12) months preceding the claim. Adscod shall not be liable for indirect, consequential, or punitive damages.

Governing Law: These Terms are governed by the laws of the Republic of Uganda. Disputes shall be resolved in the courts of Kampala, Uganda.

Amendments: Adscod may update these Brand Terms at any time. Material changes will be communicated via email, in-platform notification, or by any other means Adscod deems appropriate.

Entire Agreement: These Brand Terms, together with the General Terms of Use, Customer Terms of Service, and referenced policies, constitute the entire agreement between you and Adscod regarding Brand use of the Platform.
